ALF seller readiness: what to do 6 to 12 months before you sell

Buyers pay for clean records, stable occupancy, and a facility without open problems. Here is how to prepare.

An assisted living facility sale involves three things at once: the real estate, the operating business, and the license. Buyers and lenders look at all three. The owners who get the best outcomes usually start preparing 6 to 12 months before going to market.

Cure deficiencies

Review your recent inspection history. Open deficiencies give buyers leverage and can slow financing. Resolve what you can and document how it was fixed.

Stabilize occupancy

Occupancy drives value. Where it is appropriate for your residents and operation, work on census before listing, and be ready to explain your payer mix: private pay and other sources.

Organize financials

  • At least two to three years of profit and loss statements, and year-to-date.
  • A current rent roll with resident rates.
  • Payroll and staffing summary.
  • Major expenses: food, utilities, insurance, maintenance.

Keep business and personal expenses separate. Unsupported adjustments hurt credibility with serious buyers.

Document operations

Buyers want to know the facility can run through a transition. Written policies, staffing schedules, vendor contracts, and administrator continuity all help.

Address deferred maintenance

Roof, generator, plumbing, fire and life safety systems, and termite history will be inspected. Fix what is fixable and gather records for the rest.

Plan confidentiality

Staff and residents should not learn about a sale from a listing site. Use NDAs and qualify buyers before sharing sensitive information.

It’s not just selling an asset. The buyer is taking on a responsibility, and preparation shows them you have handled it well.
